Binding Agreement
This is a binding contract ("Terms") between you and Stealth App, Inc. and its affiliates ("we," "us," "our," "Stealth App"). These Terms apply whenever you use any of the sites, apps, products, or services ("Services") we offer, including stealth-app.com and all related platforms and tools, whether currently in existence or created in the future. We may automatically upgrade our Services, and these Terms will apply to such upgrades. By accessing or using the Services, you agree to be bound by these Terms. If you use our Services on behalf of an organization, you agree to these terms on behalf of that organization. If you do not agree to these Terms, you may not use the Services.

Age Restrictions
The Services are intended for business and enterprise use. In order to create an account for the Services, you must be 18 years of age or older. By registering, you represent and warrant that you are 18 years of age or older.
Your Content and Permissions
Content may be uploaded to, shared with, or generated through Stealth App's AI coding agent infrastructure — including code, files, documents, configuration data, and other materials ("Your Content"). Your Content is yours. Stealth App does not claim any right, title, or interest in Your Content.
You grant us a non-exclusive, worldwide, royalty-free license to do the things we need to do to provide the Services, including but not limited to storing, processing, displaying, reproducing, and distributing Your Content. This license extends to trusted third parties we work with to deliver our enterprise services.
Content Guidelines
You are fully responsible for Your Content. You may not copy, upload, download, or share Your Content unless you have the appropriate rights to do so. It is your responsibility to ensure that Your Content abides by applicable laws, these Terms, and our usage guidelines. We don't actively review Your Content.
Account Security
You are responsible for safeguarding your credentials to the Services, ensuring that others don't have access to them, and keeping your account information current. You must immediately notify Stealth App of any unauthorized uses of your account or any other breaches of security. Stealth App will not be liable for your acts or omissions, including any damages of any kind incurred as a result of your acts or omissions.
Payment of Fees
Plans and Subscription Tiers
Stealth App offers multiple service tiers, including free trial access, self-service subscription plans, and enterprise licenses. You may upgrade or downgrade your plan at any time; downgrades will take effect at the next renewal date. Enterprise customers should contact our sales team separately for custom licensing arrangements.
Fees and Billing
For paid subscriptions, you will be charged the applicable subscription fees and any taxes. Fees will be billed to the credit card or other payment method you provide according to the billing terms in effect when charges become due. By subscribing to our Services, you authorize Stealth App to automatically charge your payment method: (i) in advance for each subscription term; (ii) for any additional usage or services consumed during the prior billing period; and (iii) for any add-on services or features you enable.
Your subscription will automatically renew for the same term as your initial subscription period unless you or Stealth App cancel before the renewal date. You must cancel your subscription before it renews to avoid being charged for the next billing cycle.
Payment Information
You represent and warrant that all payment information you provide is accurate and that you are authorized to use the payment instrument. You agree to promptly update your account with any changes to your payment information, including billing address or payment method expiration. If payment cannot be processed for any reason, Stealth App reserves the right to suspend or terminate your access to the Services.
Currency and Taxes
All payments shall be made in United States dollars. You are responsible for all applicable taxes, duties, and withholdings. When Stealth App has a legal obligation to collect such taxes, the appropriate amount will be added to your invoice and paid by you directly to Stealth App.
Fee Changes
Stealth App may modify its fees and payment terms at its discretion. Any fee changes affecting your current subscription will not take effect until the start of your next billing period. We will provide advance written notice of any material fee changes. Your continued use of the Services after fee changes become effective constitutes your agreement to pay the modified amounts.
Refund Policy
All fees are non-refundable except as expressly stated in this Agreement or as required by applicable law. Refunds, if applicable, will be processed within thirty (30) days of approval. This no-refund policy applies to partial-month subscriptions, annual commitments, and enterprise licenses.
Suspension for Non-Payment
If payment is not received or cannot be charged for any reason, Stealth App reserves the right to suspend or terminate your access to the Services.
Changes to these Terms
We are constantly updating our Services, and that means sometimes we have to change the legal terms under which our Services are offered. If we make material changes, we will notify you by posting on our website, sending you an email, or through other communication before the changes take effect. The notice will designate a reasonable period after which the new Terms will take effect. If you disagree with our changes, then you should stop using Stealth App within the designated notice period. Your continued use of Stealth App will be subject to the new Terms. However, any dispute that arose before the changes shall be governed by the Terms that were in place when the dispute arose.
DMCA Policy
We respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act ("DMCA"). If you believe that content on Stealth App infringes your copyrights, you can notify us using the contact information in our Privacy Policy.
Our Intellectual Property
The Services and all materials contained therein, including, without limitation, the Stealth App logo, name, and all designs, text, graphics, software, algorithms, documentation, and the selection and arrangement thereof (collectively, the "Stealth App Materials") are the property of Stealth App or its licensors and are protected by U.S. and international intellectual property laws. You are granted a personal, limited, non-sublicensable, non-exclusive, revocable license to access and use Stealth App Materials in accordance with these Terms for the sole purpose of enabling you to use and enjoy the Services.
Other trademarks, service marks, graphics and logos used in connection with the Services may be the trademarks of other third parties. Your use of the Services grants you no right or license to reproduce or otherwise use any Stealth App or third-party trademarks.
Termination
You are free to stop using the Services at any time. We also reserve the right to suspend or end the Services at any time at our discretion and without notice. For example, we may suspend or terminate your use of the Services if you fail to comply with these Terms, or use the Services in a manner that would cause us legal liability, disrupt the Services, or disrupt others' use of the Services.
Disclaimer of Warranties
Stealth App makes no warranties of any kind with respect to the Services or your use of them. The Services are provided "as is" without warranty of any kind.
Limitation of Liability
Stealth App shall not have any liability for any indirect, incidental, consequential, special, exemplary, or punitive damages under any theory of liability arising out of, or relating to, these Terms or your use of Stealth App. As a condition of access to Stealth App, you understand and agree that Stealth App's total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Stealth App, its officers, directors, employees, contractors, and agents from and against any and all losses, liabilities, demands, damages, costs, claims, and expenses, including attorneys' fees, arising out of or related to your use of our Services, including but not limited to your violation of these Terms or applicable law, Your Content, and any activities conducted through your account.
Arbitration Agreement
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.
Exceptions to Arbitration
Claims for injunctive or equitable relief or claims regarding intellectual property rights may be brought in any competent court without the posting of a bond.
No Class Actions
You may resolve disputes with us only on an individual basis; you may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not permitted.
Governing Law
You agree that these Terms, and your use of Stealth App, are governed by the laws of the State of Delaware, United States of America, without regard to its principles of conflicts of law.
